As members will no doubt be aware from this site and from the latest newsletter which is about to arrive through members' letterboxes, the Board and Committee of SU are proposing to change the constitution and the status of SU by converting from a Company Limited by Guarantee to an Industrial & Provident Society (IPS) under the official name of "The Manchester United Supporters Trust", although we will still be using the 'Shareholders United' name. The IPS is the form of limited liability vehicle which is recommended by Supporters Direct for all supporters' trusts in the UK.

The Resolutions approving the conversion are to be put to members and voted on at the Annual General Meeting of SU on 7 May, taking place at 14.30 at O'Briens in the Stretford Mall, Chester Road. The proposed new Rules of MUST can be viewed and downloaded from the here (link available by Monday 18th April 2005), should you wish to see them before the meeting. Copies of the Rules will be made available at the meeting itself.

In order to fully comply with the statutory requirements, and with the approval of the Board of SU, the following formal resolutions will be put as special resolutions under item 6 of the Notice of Meeting to put into effect the decision to convert:

THAT Shareholders United determines, under section 53 of the Industrial & Provident Societies Act 1965, to convert itself into a society registered under that Act and that, subject to para 7 below, the rules of the said society shall be those laid before this meeting, which, for the purposes of identification, are signed by the Chairman of the meeting.

THAT the following three members of the society, namely Nick Towle, Oliver Houston and Karen Matthews be appointed, together with the Secretary, to sign the said rules and to accept any alterations made by the Financial Services Authority without consulting the company.
